By downloading, installing, accessing, or using the Market application or website, you agree to be bound by these Terms & Conditions. If you do not agree, you must immediately cease using the platform.

2.5 Promotional Content: Business-only promotional media, images, product catalogs, posts, and short promotional clips.
2.6 Business Posts: Promotional text, announcements, or offer-related image updates published by a Business Owner.
2.7 Business Short Videos: Short, product- or service-focused promotional videos strictly created for commercial awareness.
2.8 Catalogue: A structured digital showcase of products or services offered by a business.
2.9 Products: Goods offered for sale directly by a business outside the Platform.
2.10 Services: Commercial solutions or professional services offered by a business.
2.11 Appointment: A time-slot reservation request initiated by a Customer to a Business Owner via the Platform.
2.12 Customer: A User who browses, contacts, or books an appointment with a listed business.
2.13 Platform: The Market mobile application, website, servers, and associated digital services operated by NexHub Platforms.

3. Eligibility

3.1 Minimum Age: Users must be at least 13 years of age (or the legal minimum age in their jurisdiction) to use the Platform.
3.2 Legal Capacity: You represent that you have the full legal capacity to enter into a binding agreement.
3.3 Accurate Information: Users and Business Owners must provide true, accurate, and complete registration information.

4. User Accounts

4.1 Account Registration: Users must register an account using valid credentials to access certain features.
4.2 Account Security: Users are solely responsible for maintaining the confidentiality of their login credentials.
4.3 Account Responsibility: All activities occurring under an account are the sole responsibility of the account holder.
4.4 Account Suspension: Market reserves the right to suspend or terminate accounts that violate platform policies.

5. Business Accounts

5.1 Business Profile Creation: Business Owners may register and customize a public profile to promote their legitimate business.
5.2 Business Information: Business Owners must provide clear business names, accurate category selections, and operational details.
5.3 Business Categories: Listings must be categorized accurately under relevant industry tags.
5.4 Business Location: Business Owners are responsible for mapping accurate physical addresses or service coverage areas.
5.5 Business Contact Information: Business Owners must ensure that displayed phone numbers, email addresses, and contact details are current and owned by them.

6. Business Listing Service

6.1 Purpose of Business Listing: The Business Listing Service enables commercial entity discovery across local and international markets.
6.2 Public Visibility: Activating a Business Listing makes uploaded details (phone numbers, photos, logos, short videos, catalogs) publicly visible to all Users.
6.3 Listing Activation: Listings become active upon completing registration and meeting compliance rules (and active subscription, if applicable).
6.4 Listing Deactivation: Business Owners can pause or deactivate their listings at any time through account settings.
6.5 Listing Suspension: Market reserves the absolute right to hide or suspend listings violating content or commercial standards.

7. Business Profile Rules

7.1 Authentic Business Information: Only genuine, legally operating businesses are permitted to list.
7.2 Accurate Contact Details: Misleading phone numbers, false physical addresses, or impersonated contact information are strictly forbidden.
7.3 No Fake Businesses: Phantom, shell, or non-existent business listings are prohibited and will be purged.
7.4 No Duplicate Profiles: Creating multiple identical listings for a single business location is prohibited.

8. Business Posts

8.1 Business-Related Content Only: Posts must strictly highlight business news, product announcements, or commercial offers.
8.2 Promotional Purpose: All published content must serve a direct commercial or marketing function for the business.
8.3 Accuracy of Information: Pricing, offers, and product claims in posts must be truthful.
8.4 Misleading Promotions: Bait-and-switch offers, deceptive claims, or false discounts are grounds for immediate content removal.

9. Business Short Videos

9.1 Business Promotion Only: Short videos must exclusively showcase products, services, physical stores, or professional operations.
9.2 No Entertainment Content: Comedy skits, entertainment reels, viral trends, non-business vlogs, or personal videos are STRICTLY PROHIBITED.
9.3 No Personal Content: Videos showcasing personal life, family, hobbies, or non-commercial personal commentary will be removed instantly.
9.4 No Copyright Violation: Business Owners must own or license all audio, music, images, and video media used in short promotional clips.

10. Products, Services & Pricing Quality Disclaimer

10.1 Product Listings: Products listed must be legal to sell under applicable local and international laws.
10.2 Service Listings: Services offered must be performed lawfully and professionally.
10.3 Pricing Information: Displayed prices are for informational purposes only. Final pricing agreements occur offline between the User and Business.
10.4 Business Responsibility: Business Owners bear 100% legal and commercial responsibility for the quality, safety, delivery, and legality of their products and services.
10.5 Sole Liability for Product Defect, Overcharging & Fraudulent Offers:
- If any business, service owner, or facility provider sells or provides any product, service, or facility that is defective, damaged, expired, old, overpriced, incorrectly priced, misleading, or substandard, Market is NOT legally responsible or involved in any legal proceedings.
- By agreeing to these Terms, the Business Owner/Service Provider assumes 100% sole personal and legal liability for all such actions, disputes, or damages.
- Platform Action: Upon receiving genuine complaints or detecting misconduct, Market reserves the absolute right to take immediate action against the business, including temporary account suspension, profile removal, or permanent account termination without prior notice.

11. Catalogue

11.1 Catalogue Information: Catalog items must represent actual, available goods or service offerings.
11.2 Images: Catalog photos must be clear and relevant to the business.
11.3 Product Details: Item descriptions must accurately disclose relevant specifications or conditions.
11.4 Service Details: Service scopes, durations, and requirements must be stated transparently.

12. Appointment Booking

12.1 Appointment Requests: Market facilitates scheduling requests between Customers and Business Owners.
12.2 Appointment Availability: Business Owners control their schedule and booking slot availability.
12.3 Business Owner Controls: Business Owners have full authority to accept, decline, reschedule, or cancel appointment requests.
12.4 Appointment Cancellation: Either party may cancel an appointment per the business's policy.
12.5 No Payment Processing: Market does NOT collect, process, or hold payments for appointment bookings. All financial transactions occur directly between the Customer and Business outside the Platform.

13. Phone Calls

13.1 Call Permission: Market requests phone dialer permissions solely to enable Users to initiate cellular calls to listed businesses.
13.2 Business Owner Controls: Business Owners can choose to toggle phone call availability or display/hide their phone number in their settings.
13.3 Communication Responsibility: All conversations occurring over phone calls are strictly private interactions between the parties. Market does not record, monitor, or control phone calls.

14. Business Communication Controls

14.1 Enable/Disable Calls: Business Owners retain full freedom to enable or disable direct phone calling options on their profile.
14.2 Enable/Disable Appointments: Business Owners can choose whether or not to accept appointment bookings via the Platform.
14.3 Business Availability: Business Owners are solely responsible for setting accurate operational hours and availability toggles.

15. User Responsibilities

15.1 Lawful Use: Users agree to use the Platform strictly for lawful commercial discovery and booking.
15.2 Respectful Behaviour: Users must interact professionally and respectfully with Business Owners and platform support.
15.3 Accurate Information: Users must provide accurate contact details when requesting appointments or making inquiries.

16. Business Owner Responsibilities

16.1 Business Authenticity: Business Owners warrant that they possess all required trade licenses, registrations, and permits to operate.
16.2 Service Quality: Businesses are solely responsible for fulfilling promises, guarantees, and service quality provided to Customers.
16.3 Customer Communication: Businesses are responsible for handling their own customer support, inquiries, and complaints.
16.4 Compliance with Laws: Businesses must comply with consumer protection, advertising,
cyber, and tax laws applicable in their operating regions.

17. Prohibited Activities

Users and Business Owners are strictly prohibited from engaging in:

17.1 Fake Businesses: Creating fraudulent profiles or listing non-existent entities.
17.2 Spam: Unsolicited marketing messages, review manipulation, or excessive duplicative postings.
17.3 Fraud: Misrepresenting products, financial scams, phish attempts, or fake appointment bookings.
17.4 Impersonation: Pretending to represent another individual, brand, organization, or government agency.
17.5 Misleading Information: Uploading false pricing, fake contact numbers, or deceptive media.
17.6 Harmful Activities: Distributing malware, attempting platform hacks, or scraping platform data.

18. Prohibited Content

19. Content Moderation & Enforcement

19.1 AI Moderation: Market utilizes automated Artificial Intelligence (AI) and machine learning scanners to inspect text, images, and videos.
19.2 Manual Review: Human moderation teams audit flagged content, suspicious business accounts, and reported listings.
19.3 Automatic Detection: System algorithms automatically flag non-business, adult, or infringing content.
19.4 Content Removal: Violating content will be purged immediately without prior notice or warning.
19.5 Account Suspension: Repeated non-compliance will lead to temporary or long-term account suspension.
19.6 Permanent Ban: Uploading severe prohibited content (such as CSAM, adult material, or fraudulent schemes) will result in an immediate, permanent ban and reporting to authorities.

20. Reporting Violations

20.1 Report Content: Users can flag inappropriate posts, videos, or products directly within the app interface.
20.2 Report Business: Users can report suspicious, fake, defective, or abusive business profiles.
20.3 Investigation: Market reviews reported items and takes appropriate action at its sole discretion.

21. Fraud, Safety & Absolute Disclaimer of Liability

21.3 Business Responsibility: Business Owners are solely liable for their uploaded contact details, offers, safety of premises, product quality, and service fulfillment.
21.4 Absolute Fraud & Crime Disclaimer: Market is NOT RESPONSIBLE OR LIABLE for any scam, fraud, financial loss, theft, property damage, personal injury, defective product, overcharging, breach of contract, misrepresentation, cybercrime, or incident resulting from interactions facilitated through the Platform.
21.5 No Compensation Policy: Market shall NEVER offer, pay, or provide any monetary compensation, refund, reimbursement, or indemnity to any User or Business for any loss, fraud, or damage suffered.

22. Payments & Subscriptions

22.1 Business Listing Service Fees: Certain priority visibility, featured placement, or advanced profile features may require a paid Business Listing Subscription.
22.2 Subscription Terms: Subscription pricing, billing cycles, and feature access are detailed at the time of purchase within the app.
22.3 Taxes: All applicable taxes are the responsibility of the subscriber unless explicitly included.
22.4 Refund Policy: Subscription fees paid to Market are strictly non-refundable once the service/visibility period has commenced.

23. Intellectual Property

23.4 Copyright Complaints: Copyright owners may submit takedown requests to Market's designated email address for alleged copyright infringements.

24. Third-Party Services

Market integrates with third-party technical providers to operate effectively:

24.1 Firebase Services: Cloud infrastructure, authentication, database, and push notification delivery.
24.2 Google Play Services: System runtime utilities and location services.
24.3 Payment Gateways: Third-party gateways (e.g., Razorpay) for platform subscription processing only.

25. Privacy

28. Indemnification

Users and Business Owners agree to defend, indemnify, and hold harmless Market, NexHub Platforms, its officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, costs, or legal fees resulting from:

Breach of these Terms & Conditions.
Content, products, pricing, or services uploaded or provided by the user/business.
Violation of any third-party right, including intellectual property or privacy rights.
Any fraudulent act, misrepresentation, defective product delivery, or dispute arising with another user.

29. Governing Law & Jurisdiction

29.1 Applicable Law: These Terms shall be governed by and construed in accordance with the laws of India.
29.2 Jurisdiction: Any legal disputes arising out of or related to the Platform shall fall under the exclusive jurisdiction of the competent courts located in Agra, Uttar Pradesh, India.
